1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the MuniMind website, mobile applications, APIs, and related services (collectively, the "Service") operated by MuniMind, Inc. ("MuniMind," "we," "us"). By accessing or using the Service, you agree to be bound by these Terms.

2. Description of Service

MuniMind provides AI-powered municipal intelligence — maps, chat, watchlists, decision precedent search, and related tools — across the jurisdictions (cities, counties, regions) available on the Service. The Service aggregates publicly available government data and applies AI analysis to make it accessible and actionable.

The list of jurisdictions covered by the Service evolves over time. The presence or absence of a given jurisdiction at any point is not a guarantee of ongoing coverage or data completeness.

3. Accounts

Some features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and promptly update it if it changes. You must be at least 13 years old to create an account.

4. Data accuracy disclaimer

THE SERVICE IS PROVIDED "AS IS," "WITH ALL FAULTS," AND "AS AVAILABLE." WE MAKE NO WARRANTIES OF ANY KIND.

Property data, zoning information, decisions, and related content are aggregated from multiple third-party government sources. Data may be outdated, incomplete, inaccurate, or inconsistent with official government records due to upstream data quality, extraction errors, timing lags, or jurisdictional changes.

✓ The Service is NOT a substitute for professional advice from licensed attorneys, surveyors, engineers, title companies, or planning officials
✓ Do NOT rely on the Service for property acquisition, development, or construction decisions without independent professional verification

5. AI-generated content

The Service uses large language models (currently Anthropic's Claude) and embedding models to answer natural-language questions and generate summaries. You acknowledge and agree that:

• AI responses are for informational and educational purposes only
• AI-generated answers may contain errors, omissions, hallucinations, or outdated information
• You must independently verify all AI-provided information against cited sources
• AI responses DO NOT constitute legal, financial, tax, real estate, engineering, or architectural advice
• You are responsible for any decisions you make based on the Service's output

6. Prohibited uses

YOU AGREE NOT TO USE THE SERVICE FOR:

• Construction planning without professional survey verification
• Legal decisions regarding property rights or zoning compliance without licensed counsel
• Final property boundary determination for legal transactions
• Emergency response or time-critical safety decisions
• Any activity where errors could lead to death, injury, or significant property damage
• Harassing, defaming, or harming individuals named in public records
• Scraping, reverse engineering, or redistributing the Service's AI output or underlying data at scale without a commercial license
• Building a competing service
• Attempting to bypass rate limits, authentication, or security controls

7. Subscriptions and billing

Paid tiers are billed through Stripe on a recurring basis (monthly or annually) until cancelled. You can cancel at any time through the billing portal; cancellation takes effect at the end of the current billing period. Refunds are at our discretion except where required by law.

API credits, if applicable to your tier, are allocated monthly and do not roll over. Overage policies are described on the pricing page.

8. API usage

Access to the MuniMind Developer API is governed by your plan tier and credit allocation. You may not exceed published rate limits, redistribute raw API responses at scale, or use the API to build a competing service. We reserve the right to revoke API access for abuse.

9. Intellectual property

The Service — including its AI models, analysis, UI, and presentation — is our proprietary work. Underlying government data is public record. You may share and cite MuniMind analysis with attribution. Your user content (chat messages, watchlists, notes) remains yours; you grant us a license to process it as needed to provide the Service.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUNIMIND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits, revenue, business, or data
• Property damage or personal injury
• Decisions made based on Service output

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless MuniMind from any claims arising from your misuse of the Service, your violation of these Terms, or your violation of applicable law.

12. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any reason with reasonable notice. You may stop using the Service and close your account at any time.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute shall be resolved by binding arbitration under the Federal Arbitration Act, administered by the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property or security claims. You waive any right to a class action.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be announced by email or in-app notice. Continued use after the effective date constitutes acceptance of the updated Terms.
